Introduction
Welcome to VK Elevate Consultants LLC (“Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your use of our business consulting services, website, and any related products or services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our Services.
Services Provided
VK Elevate Consultants LLC offers business consulting services including but not limited to strategic planning, organizational development, market analysis, and operational improvement. The specific scope of services will be detailed in a separate agreement or engagement letter between the Company and the Client.
Eligibility
By using our Services, you represent that you are at least 18 years old and have the legal authority to enter into binding agreements. If you are accessing our Services on behalf of an organization, you warrant that you have the authority to bind that organization to these Terms.
Engagement and Fees
Engagements with VK Elevate Consultants LLC are subject to acceptance by both parties and may require a signed agreement. Fees for consulting services will be outlined in the engagement letter or proposal. Payment terms are net 30 days from the date of invoice unless otherwise specified. Late payments may be subject to interest charges.
Confidentiality
Both parties agree to maintain the confidentiality of all non-public information shared during the course of the engagement. Confidential information will not be disclosed to any third party without prior written consent, except as required by law.
Intellectual Property
Any materials, reports, or deliverables provided by VK Elevate Consultants LLC during the engagement are the intellectual property of the Company unless otherwise agreed in writing. Clients are granted a non-exclusive, non-transferable license to use such materials solely for internal business purposes.
Limitation of Liability
VK Elevate Consultants LLC will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Services. Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid by the Client for the Services in question.
Indemnification
You agree to indemnify and hold harmless VK Elevate Consultants LLC, its affiliates, officers, and employees from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.
Termination
Either party may terminate the engagement upon written notice if the other party breaches these Terms and fails to cure such breach within 15 days after receipt of written notice. Upon termination, all outstanding fees become immediately due and payable.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State in which VK Elevate Consultants LLC is registered, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising under these Terms shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
Changes to Terms
VK Elevate Consultants LLC reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our Services after changes are posted constitutes your acceptance of the revised Terms.
